Broker Terms
These terms are also the Buyer Agreement you accept when you set up your account.
BrokerSeat Broker Terms, version 1.0, effective the date you accept them
These terms are an agreement between you (the broker company that signs up, and everyone who logs in under your account) and BrokerSeat ("BrokerSeat", "we", "us"). By ticking the box when you set up your account you agree to them.
1. Who can join
- BrokerSeat is a private, members only lead marketplace for brokers, ISOs, funders and lenders in small business funding. You request access with a short apply form and confirm you work in small business funding with the required box on it.
- Everyone who finishes the apply form is approved at once and gets an invite link by email; there is no manual review. "Approved" means approved access to BrokerSeat only. Your account opens as soon as your first plan payment goes through. We check new accounts after they open and may suspend or close any account that does not meet these terms at any time, including on day 1, without a refund and without having to give a reason (section 11).
- Lead resellers, list brokers and data companies cannot join.
- You are responsible for holding any licenses or registrations your business needs where you operate.
- You must be at least 18 and have authority to bind your company.
2. The service
- BrokerSeat shows you new merchant leads: small business owners who asked about business funding. Before you unlock a lead you see basic, non-contact details (for example industry, state, stated revenue range, time in business, score and checks). Name, business name, phone and email stay hidden until you unlock.
- Each lead can be unlocked by up to 3 brokers. Leads are shared: no exclusive leads.
- A lead stays live for 30 days after it is listed, or until 3 brokers have unlocked it, whichever comes first.
- Higher plans may see new leads a few minutes earlier than lower plans (early access). Some new leads reach Starter first.
- Lead prices are in credits and depend only on how old the lead is. The price of each lead is always shown on the Unlock button before you click. Every broker pays the same price for a lead of the same age. The price does not depend on how many brokers have already unlocked it. The current price list is shown in the app and on the Plans page. When you click Unlock you are charged the lower of the price shown and the current price, so never more than the price shown. We do not show how many brokers have unlocked a lead; each lead goes to no more than 3.
- No exclusive leads. Every lead is shared.
- Aged lists. After 30 days, a lead may be included in aged lead lists sold to members, unless it was marked Funded, the merchant confirmed a privacy request, or it does not have a clean status history. Aged lists are for members only, are shown as "Coming soon" until sales open, and are a separate one-time charge in dollars, never paid with credits.
- We deliver leads only to your webhook (your CRM) or your Saved Leads tab. BrokerSeat never calls, texts or emails merchants.
- We run basic checks on leads (for example phone number format, duplicates and an AI lookup of the business online), but merchant details such as revenue and time in business are what the merchant told us. We do not verify revenue and do not promise that any lead is accurate, reachable, or will apply or fund.
- Checks are named for what they actually check ("Found online", "Consent recorded"). They mean only that.
3. Credits and plans
3.1 Prepaid credits. You pay for a monthly plan in advance. What you pay becomes credits in your account. 1 credit = $10 of purchase value: for example, a $1,000 plan payment gives you 100 credits. When you click Unlock, the lead's price in credits is taken from your balance. Credits have no cash value. They are not money, not a bank account, not stored value you can withdraw, cannot be transferred or sold, are never refunded, and never turn into cash.
3.2 Plans. Each plan is a monthly subscription. We charge the full plan price to your card every month, and add the plan's full credits and bonus credits as soon as the payment goes through. The current plans, prices, credits, early access and extra user fee are shown on the Plans page. At launch: Starter $1,000 a month for 100 credits, Growth $2,500 a month for 250 credits plus 25 bonus credits, Pro $5,000 a month for 500 credits plus 100 bonus credits. We may change plans and prices with notice (section 15). Changes apply from your next renewal.
3.3 Renewal and rollover. At each renewal we charge the full plan price and add your plan's full credits (Starter 100, Growth 250, Pro 500) plus its bonus credits (Growth 25, Pro 100). Unused plan credits roll over, but your plan credits after renewal can be at most 2 times your plan's monthly paid credits: Starter 200, Growth 500, Pro 1,000. Plan credits over that cap are forfeited at renewal and are not refunded. Credits you buy as top-ups (including auto-reload) do not count toward this cap and are not forfeited at renewal. We warn you by email and in the app 7 days and 1 day before your renewal if any credits would go over the cap. Example: on Growth (250 paid credits a month) with 300 paid credits left at renewal, we charge $2,500 and add 250 paid credits (550 in total); 50 paid credits are over the 500 cap and are forfeited, so you start the cycle with 500 paid credits plus 25 bonus credits. Extra user fees (section 9.5) are charged in full each month.
3.4 Bonus credits. Some plans and top-ups add bonus credits on top of what you paid. Bonus credits:
- are shown separately from paid credits on your Credits page;
- for plans, are a fixed amount added with each paid month (Starter 0, Growth 25, Pro 100);
- for top-ups, are the percentage shown on the top-up option, rounded down to whole credits;
- expire at the end of each billing cycle if unused;
- are spent before paid credits;
- are not added on plan upgrade charges;
- have no cash value and are lost when your account closes.
Promo and goodwill credits we give you may have an expiry date shown when they are added, and have no cash value.
3.5 Upgrades and downgrades. Upgrades start right away. We charge the full difference between the two plan prices (not based on days left in the cycle) and add the same amount to your paid credits at $10 per credit. The new plan's bonus starts at your next renewal. Downgrades start at your next renewal. Plan timing (early access) follows your new plan from the moment an upgrade starts, and from your next renewal after a downgrade. Your extra users stay on your account unchanged when you upgrade or downgrade.
3.6 Top-ups. You can add credits at any time with a one-time top-up charged to the card on file, at $10 per credit. Options at launch: $500 for 50 credits, $1,000 for 100 credits, or $2,500 for 250 credits plus 12 bonus credits (5%, rounded down). Top-up bonus credits follow section 3.4. A top-up is one click plus a confirm. Credits are added as soon as the charge goes through.
3.7 Auto-reload authorization. If you turn on auto-reload, you authorize BrokerSeat to charge your card on file the amount you chose each time your credits drop below the threshold you chose (for example "When I drop below 40 credits, add 100 credits for $1,000"). For your protection we limit auto-reloads to 3 in 24 hours. Auto-reload stays on until you turn it off. It turns off automatically if the card declines or you cancel.
3.8 Card payments. BrokerSeat takes card payments only; there is no bank transfer (no ACH) option. You authorize BrokerSeat and our payment processor (Stripe) to charge your card on file for each monthly plan charge, extra user fees that renew with your plan, upgrade charges, top-ups and auto-reloads, until you cancel. Your bank may ask you to confirm a charge (3D Secure). You can change your card in Billing.
3.9 Receipts. Every charge gets a receipt in Billing, in dollars. Charges show on statements as "BROKERSEAT".
3.10 Taxes. We do not add sales tax at checkout. The price shown is the price you pay.
3.11 Pre-sell (founding) payments. If you paid BrokerSeat before the app opened, that payment converts to credits at 1 credit = $10 when your account opens. A pre-paid plan month also earns that plan's normal bonus credits (section 3.4); paid and bonus credits are added when your account opens, and those bonus credits expire at the end of that first billing cycle. The terms apply in full, including returns, no refunds and the cancel rule. Those rules are also written on your invoice or the 1-page agreement you signed before paying.
4. Unlocks are final, except through returns
- Every unlock is final, except through the returns policy below. Once you click Unlock and confirm, the price in credits is taken from your balance.
- A lead counts as delivered when it is sent to your webhook or opened in your Saved Leads, whichever happens first.
- Returns.
- You may return up to 2 leads per calendar month per broker account.
- You must request the return within 24 hours of unlocking the lead, with the "Request return" button on the lead page. After 24 hours the lead cannot be returned.
- Clear reasons only: bad phone, duplicate, not the business owner, or revenue or time in business far off from what was listed. "Didn't close" or "couldn't reach" is not a reason.
- You must type a short note as proof (for example your call log or what the merchant said) for "not the business owner" and "revenue far off". Text only; there are no file uploads.
- Approved returns give back the credits you spent on that lead. They are never paid out as cash.
- If part of the price was paid with bonus credits that have expired since the unlock, that part comes back as goodwill bonus credits that expire 7 days after the return is approved.
- If a phone number is confirmed bad, every broker who unlocked that lead gets their credits back, and that does not count toward your 2 returns.
- A returned lead's place is not reopened for another broker.
- Once a return is approved, that lead's contact details are hidden in your Saved Leads, and you must not contact the merchant again or keep the lead in your CRM.
- We review each request and tell you if it is approved or denied, with a reason if denied.
5. No refunds of credits
- Credits are not refundable, whether paid or bonus, while you are a member, after you cancel, or if your account is closed. Credits have no cash value.
- There is no refund if no leads match your buy box. If nothing matches, widen your buy box or pause your plan.
- The only cash refunds are for our own billing errors, such as a duplicate charge. Contact support within 60 days of the charge.
6. Cancellation
- You can cancel any time in Billing. Cancelling stops future plan charges. Your plan stays active until the end of the period you already paid for.
- When your paid period ends, you have 30 days to use your remaining credits. The feed and Unlock keep working until the end of those 30 days.
- After those 30 days, any credits left are kept by BrokerSeat. They are not refunded.
- The 30 days start when your paid period ends, not on the day you click cancel. We email you reminders when the 30 days start, 7 days before they end and 1 day before they end.
- If you restart a plan inside the 30 days, your remaining credits carry over. After 30 days, a restart begins with the new plan's credits only.
- Auto-reload and extra user fees stop when you cancel.
- Your Saved Leads stay viewable and downloadable after you cancel, for as long as our retention policy keeps those details (see the Privacy Policy).
- Your obligations about data use, opt-outs, no resale and confidentiality continue after you cancel.
7. Pausing your plan
- Instead of cancelling, you can pause your plan for 1 month. No plan or extra user charge that month and no new credits. Your existing paid credits are held, not lost. Bonus credits still expire at the end of their cycle.
- Your plan restarts automatically after the pause and the normal renewal charge applies.
- During a pause your access is the same as when a payment fails (section 8): Saved Leads and Billing stay open; the feed, Unlock, top-ups, alerts and webhook deliveries are off. The pause screen shows the date the pause ends.
8. Failed payments
- If your monthly plan charge fails, your account is paused right away. While paused you cannot see the feed, unlock, top up, receive alerts or receive webhook deliveries. Saved Leads and Billing stay open.
- Your credits are held, not lost. Extra user fees stay on the unpaid invoice and are collected with it.
- We retry the charge over a few days and tell you each time it fails, by email and in the app.
- When the payment goes through, your account unlocks automatically.
- A failed auto-reload does not pause your account. It turns auto-reload off and we email you to update your card.
9. Your obligations
9.1 Calling and texting laws are your responsibility. You alone are responsible for how you contact merchants. You must follow all laws that apply to calls, texts and emails, including the federal Telephone Consumer Protection Act, state telemarketing and "mini-TCPA" laws, Do Not Call rules, quiet hours, and opt-out rules. We keep a consent record for each lead (the wording the merchant agreed to, time, IP address and page) and show it to you after you unlock, but you decide whether and how to contact the merchant.
9.2 Honor opt-outs. If a merchant asks you to stop contacting them, in any reasonable way, you must stop and keep them on your own do-not-call list. If they also want BrokerSeat to stop offering their request, tell them to email privacy@brokerseat.com. We stop future sales once the merchant confirms by a link we send to the email on file for their request.
9.3 Mark lead status within 14 days. For every lead you unlock, you must set a status (Called, Applied, Funded or Dead). If any of your unlocked leads is older than 14 days without a status, you cannot unlock new leads until you mark it. Statuses keep funded merchants out of aged lists.
9.4 No resale or sharing. Leads are for your own company's use only. You may not resell, rent, share, give away, publish or pool leads, or pass them to another broker, funder, list company or affiliate, except to the funders you submit that merchant's deal to in the normal course of brokering it.
9.5 Team users. Every plan includes 1 login, for the account owner. Each extra user costs $500 per user per month on any plan. The full $500 is charged to your card on file when you add the user, and the invite is sent only after that charge succeeds. The fee then renews with your plan each month. If you remove a user, they lose access at once and the fee stops at your next renewal; there is no refund for the rest of that month. Extra users share your account's credits and its 2 returns a month. Only the account owner can change billing, the buy box, the webhook and the team. Every person who uses BrokerSeat must have their own login, own password and own 2-step verification. Users are for your own employees or contractors working for your company only. The account owner is responsible for everything done under the account, including by team members.
9.6 No shared logins. Do not share passwords, 2-step codes or devices between people. Shared logins can lead to a suspension (section 11).
9.7 Keep your account secure. Use a strong password and 2-step verification, keep your webhook URL accurate, and tell us right away if you think someone else has access.
9.8 Protect lead data. Keep lead data secure, use it only to offer business funding to that merchant, and delete it when you no longer need it. If a merchant tells you they opted out or asked to be deleted, stop all contact at once and delete or suppress that merchant's data in your systems within 10 business days. Tell us within 72 hours if lead data you got from us is exposed in a breach.
9.9 No scraping or abuse. Do not scrape, automate unlocks, reverse engineer the app, or try to see lead details you have not unlocked.
9.10 Honest information. Information you give us at sign-up and later must be true and kept up to date.
9.11 Florida calling rules. When you call or text merchants in Florida, you must follow the Florida Telephone Solicitation Act (FTSA) as well as federal law: call only between 8am and 8pm in the merchant's local time, make no more than 3 calls in 24 hours to the same person about the same subject, stop at once when asked, and do not use automated dialing, prerecorded or AI voice, or texts without the consent the law requires. You alone are responsible for this compliance (section 9.1), and section 14 (indemnity) applies.
10. Monitoring and canary leads
To protect merchants and brokers, BrokerSeat monitors how leads are used. This includes:
- Canary leads: some leads may use phone numbers and emails that BrokerSeat owns and monitors. They look like other leads, are given free (never charged), and each goes to one account only. If a canary lead is contacted by someone who did not unlock it, we treat that as evidence the lead was resold or shared, and we can trace it to the account that unlocked it.
- Logs of logins, devices, unlocks, lead opens, exports, status marks and settings changes.
- Webhook delivery logs and open times.
By joining, you agree to this monitoring.
11. Suspension and ban
- Suspension: we may suspend your account at once, without notice, at any time (including right after sign-up), if we see a payment dispute, suspected fraud, resale or sharing of leads, shared logins, a canary hit, a security problem, or a serious breach of these terms. We may also suspend for a set time for breaches such as not reporting opt-outs, ignoring status marks, or abusive conduct toward merchants or our staff. In particular, 2 merchant complaints about your calls or texts in 30 days, or 1 opt-out you did not report within 24 hours, suspends your account while we review it. A suspended account cannot use the feed, unlock, top up or change settings. Your credits are held while suspended. Suspension does not give a refund.
- Ban and termination: we may close your account permanently for resale, fraud, a lost chargeback, repeated breaches, or conduct that puts merchants or BrokerSeat at legal risk. A banned company, email, domain or card cannot sign up again.
- Credits on ban: if we close your account for a breach of these terms, any remaining credits are forfeited and are not refunded.
- You may close your account at any time by cancelling (section 6).
12. Chargebacks and payment disputes
- If you think a charge is wrong, contact support first. Most billing errors are fixed within a few business days.
- If you open a dispute or chargeback with your bank or card company, your account is suspended automatically while the dispute is open.
- We will respond to the dispute with evidence, which may include: your acceptance of these terms (version, date, time and IP address), receipts, your unlocks, webhook delivery records and lead open times, and your login history.
- If we lose a dispute that we believe was not valid, your account is banned by default. You remain responsible for amounts you owe, including the disputed amount and any dispute fees, to the extent the law allows.
13. How we use data
- We use your account information to run your account, bill you, prevent fraud, secure the service, send you service and billing emails, and improve BrokerSeat.
- We use your activity (unlocks, statuses, returns, logins) to run the service, send you email and in-app notifications, price and score leads, catch resale and abuse, and report on lead quality. We may share totals that do not identify you.
- Merchant data is handled as described in the Privacy Policy (Part 2).
- More detail: Privacy Policy below.
14. Liability limits and no guarantee
- No guarantee of funding results. BrokerSeat sells leads, not results. We do not promise that any merchant will answer, apply, qualify, or fund, or that you will earn any amount.
- BrokerSeat does not lend, fund, make offers, quote rates or arrange funding.
- The service is provided "as is" and "as available". We do not promise it will be uninterrupted or error-free.
- Our total liability to you for any claim is limited to the fees you paid BrokerSeat in the 3 months before the claim. We are not liable for lost profits, lost deals, or indirect or consequential losses.
- You agree to cover BrokerSeat (indemnify) for claims, fines and costs caused by how you or your team contacted merchants, by your breach of these terms, or by your misuse of lead data. You confirm that you will get any further consent the law requires before using automated dialing, prerecorded or AI voice, or texts.
- Some places do not allow some of these limits; they apply as far as the law allows.
15. Changes to these terms
- We may update these terms. We will email the account owner at least 14 days before material changes take effect and show a notice in the app.
- Changes to prices or plans apply from your next renewal after the notice.
- On your next login after a new version takes effect, you will be asked to accept it. If you do not accept, you can cancel under section 6.
- We keep a record of which version you accepted and when.
16. General
- These terms, the Plans page and the Privacy Policy are the whole agreement between you and BrokerSeat about the service.
- Governing law: the state where BrokerSeat is formed.
- If one part of these terms cannot be enforced, the rest still applies.
- You cannot transfer your account without our written OK.
- We can send notices by email to the account owner's login email.
